Terms of Service

1. Who we are

SimplyPlate ("SimplyPlate," "we," "us") provides meal planning, recipe, grocery-list, and related services through simply-plate.com and our mobile applications (together, the "Service").

By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. Your account

You must be at least 13 years old (or the minimum age of digital consent in your country) to create an account. You are responsible for your login credentials and for activity under your account.

You can delete your account at any time from Profile → Delete account, or by contacting us. Deletion removes your personal data as described in our Privacy Policy.

3. Subscriptions

Creating an account and completing household setup are free. Beyond that, use of the Service requires a paid subscription once pricing is in effect. We may make some or all features available at no charge for a period (for example, during early access); any such access is a courtesy that may change or end and does not create a right to continued free service.

Paid subscriptions renew automatically at the price shown at purchase until canceled. You can cancel anytime; cancellation takes effect at the end of the current billing period. Where you subscribe through an app marketplace (such as the Apple App Store), that marketplace's billing and cancellation terms also apply.

Prices may change; we will notify you before a change affects an active subscription.

4. Food, nutrition, and allergy information

SimplyPlate is not a medical, dietetic, or allergy service. Nutrition values are estimates and can vary with brands, portions, and preparation. Nothing in the Service is medical advice; consult a qualified professional for dietary or medical decisions.

We treat the allergy information you enter as a strict planning constraint, and we err on the side of caution with "may contain" ingredients — but we cannot guarantee any recipe, ingredient, or product is free of any allergen. Always verify ingredients and labels yourself, especially for severe allergies.

5. Your content

Recipes, preferences, and other content you add remain yours. You grant us the license needed to store, process, and display that content to you and your household in order to run the Service.

When you import or save third-party recipes, the original creator's rights are unaffected; we preserve attribution and link to original sources where available. Do not upload content you do not have the right to use.

If you submit a photo for a recipe, you confirm you took it yourself and grant SimplyPlate a non-exclusive license to display it within the Service, credited to you. You can request removal of your photos at any time by contacting us.

6. Acceptable use

Do not misuse the Service: no unlawful use, no attempts to break, overload, or reverse-engineer it, no scraping other users' data, and no reselling the Service without our written permission.

7. Disclaimers and liability

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties and our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.

Some jurisdictions do not allow certain limitations; where that is the case, these limits apply to the fullest extent permitted.

8. Changes and termination

We may update the Service and these Terms. For material changes we will give you reasonable notice (for example, in-app or by email). Continuing to use the Service after changes take effect means you accept them.

We may suspend or terminate accounts that violate these Terms. You may stop using the Service at any time.

9. Community content and our hosting role

Parts of the Service let users share recipes and photos with the community. That content is stored and displayed at the direction of the user who uploaded it; SimplyPlate acts as a host and does not pre-review community content. If you see content that seems wrong, unsafe, or infringing, report it to support@simply-plate.com and we will review it.

10. Copyright complaints (DMCA)

We respect intellectual property rights and expect users to do the same. If you believe content on the Service infringes your copyright, send a notice to support@simply-plate.com or by mail to SimplyPlate, 920 N Tyler Rd STE 304 #710, Wichita, KS 67212, including: (a) identification of the copyrighted work; (b) identification and location of the allegedly infringing material; (c) your name, address, telephone number, and email; (d) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for them; and (f) your physical or electronic signature.

We will remove or disable access to material identified in valid notices as required by the Digital Millennium Copyright Act, and we terminate the accounts of repeat infringers. If your content was removed and you believe that was a mistake, you may send a counter-notice with the elements required by 17 U.S.C. § 512(g).

11. Indemnification

You agree to indemnify and hold harmless SimplyPlate and its owners, employees, and agents from claims, damages, and reasonable attorneys' fees arising out of content you upload in violation of these Terms (including content that infringes another person's rights) or your violation of these Terms or applicable law.

12. Governing law and dispute resolution

These Terms are governed by the laws of the State of Kansas, without regard to its conflict-of-law rules.

If you have a dispute with us, contact support@simply-plate.com first — most issues can be fixed quickly and informally, and we both agree to try that for 30 days before starting any formal proceeding.

If we can't resolve it informally, you and SimplyPlate agree that any dispute arising out of or relating to the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. The arbitration will be conducted in Sedgwick County, Kansas, or remotely by videoconference at your election.

You and SimplyPlate each waive the right to a jury trial and to participate in a class action, class arbitration, or other representative proceeding. Any court proceeding permitted under this section shall be brought exclusively in the state or federal courts located in Sedgwick County, Kansas.

Nothing in this section limits rights you may have under laws of your place of residence that cannot be waived by agreement.
